Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Super Dot Engineering LLC, a Delaware limited liability company (“Super Eng,” “we,” “us,” or “our”). By downloading, accessing, or using super.engineering, you agree to these Terms. If you use the service for an organization, you represent that you can bind that organization to these Terms.

You must be at least 16 years old and legally able to enter into this agreement.

The Service and License

super.engineering is desktop software for managing coding agents and related developer workflows. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the software for your personal or internal business purposes.

Local Data and Third-Party Services

The application is designed so your prompts, source code, files, conversations, model outputs, and provider credentials remain on your device. You are responsible for your devices, repositories, backups, provider accounts, and the actions you authorize coding agents to take.

Third-party AI providers, source-control hosts, ticketing systems, and other integrations are governed by their own terms and privacy practices. We do not control those services and are not responsible for their availability or conduct.

Acceptable Use

You may not:

• use the service unlawfully or to violate another person’s rights;
• circumvent licensing checks or security controls;
• distribute, rent, sublicense, or resell the software unless we agree in writing;
• reverse engineer the software except to the extent applicable law expressly permits it;
• introduce malware or interfere with the service or another user; or
• use the service in safety-critical systems where failure could cause death, personal injury, or material property or environmental damage.

Ownership and Open Source

Super Eng and its licensors own the service, branding, and related intellectual property. You retain ownership of your code, prompts, files, and other material. Components distributed under open-source licenses remain governed by those licenses, and these Terms do not limit rights granted by them.

Roadmap and Preview Features

Features identified as planned, “coming soon,” preview, alpha, or beta may change, be delayed, or not become generally available. Roadmap statements are not guarantees of a specific release date.

Privacy

Our Privacy Policy explains how we collect and use personal information.

Suspension and Termination

You may stop using the service at any time. To the maximum extent permitted by law, we may suspend or terminate access at any time, with or without notice, including if you breach these Terms, create risk or possible legal exposure for us, or use the service unlawfully. Provisions that by their nature should survive termination will survive.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUT FROM THIRD-PARTY AGENTS WILL BE ACCURATE, SECURE, UNINTERRUPTED, OR ERROR-FREE.

Nothing in these Terms excludes warranties or rights that applicable law does not allow us to exclude.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPER ENG AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA; SECURITY BREACHES; BUSINESS INTERRUPTION; THE COST OF SUBSTITUTE SERVICES; OR DAMAGE CAUSED BY THIRD-PARTY SERVICES OR AGENTS. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by law.

Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Super Eng and its members, officers, employees, contractors, affiliates, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the service, your content, actions taken by agents at your direction, your violation of these Terms or applicable law, or your infringement of another person’s rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. If you are a consumer, this choice does not deprive you of protections provided by mandatory laws of your state or country of residence.

Before filing a claim, you and Super Eng must first try to resolve the dispute informally by sending written notice describing the dispute and requested relief. If it is not resolved within 30 days after receipt, either party may begin arbitration.

EXCEPT FOR CLAIMS ELIGIBLE FOR SMALL-CLAIMS COURT OR REQUESTS FOR INJUNCTIVE RELIEF TO PROTECT INTELLECTUAL PROPERTY OR PREVENT UNAUTHORIZED ACCESS, ANY DISPUTE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION UNDER ITS APPLICABLE RULES. THE ARBITRATION MAY BE CONDUCTED REMOTELY. YOU AND SUPER ENG WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR ARBITRATION.

If the arbitration provision is unenforceable, disputes must be brought exclusively in the state or federal courts located in the State of New York, and each party consents to their jurisdiction, except where applicable law requires otherwise.

Changes and General Terms

We may update these Terms. We will provide reasonable notice of material changes. If a provision is unenforceable, the remaining provisions remain effective. These Terms and the policies they incorporate are the entire agreement for the service and do not replace a separately signed enterprise agreement.
